The Clubsport seats do not meet US regulations. If I remember correctly it has to do with airbag placement.
The math simply didn't make sense for BMW on legalizing the CSL versions. Production was too small to go through crash testing and redesigning certain pieces. Federalization costs well into seven figures so the profitability from selling a few hundred cars doesn't pencil out. They also don't need a halo car to sell every M3/4 they can make.
